国際ビジネス、渉外法務に役立つ実務表現 indemnify 【意味】 ～を保護(免責)する，～に補償する (n) indemnification →保護(免責)すること，補償すること，補償金，賠償金 【参考】 ▷ 通例、以下の形で、当該の意味を有する： ① indemnify A against[for] B →Bに対してA(人)を保護する(将来生じ得る損害や損失を与えないように保障する・免責する) ② indemnify A for B →A(人)にB(生じた損害・損失)を償う・補償する ▷　to compensate a person for damages or losses they have incurred or will incur related to a specified accident, incident, or event. 【用例】 ▷ [X] agrees to indemnify [Y] against any legal liability owed to another person who suffers loss or damage by reason of [X’s] activities. →[X]は[Y]に対して、[X]の活動が原因で損失又は損害を被る他人に対して[Y]が負ういかなる法的責任も免責することに合意する(契約文例)。 ▷ Each of the parties shall indemnify the other party for all reasonable costs and any financial loss. →各当事者は相手方に対してすべての妥当な費用及びいかなる財政上の損失も補償する(契約文例)。 ▷ The seller made indemnification of the buyer against a full range of legal liabilities. →売り手は買い手に対してあらゆる法的責任を免責した。
