国際ビジネス、渉外法務に役立つ実務表現 invitation to offer 【意味】 申込みの誘因 【参考】 ▷ 契約は、通例、「申込み(offer)」と「承諾(acceptance)」の合致のよって成立するが、「(単なる)申込みの誘因」は、契約の成立に不可欠な「申込み」には当たらないとされる。 ▷ an act of inviting other parties to make an offer to form a contract. 【用例】 A proposal other than one addressed to one or more specific persons is to be considered merely as an invitation to make offers, unless the contrary is clearly indicated by the person making the proposal. →一人又は二人以上の特定の者に対してした申入れ以外の申入れは、申入れをした者が反対の意思を明確に示す場合を除くほか、単に申込みの誘引とする(ウィーン売買条約14条(2))。
