…であるがゆえに，…という事実から，…を考慮して

【参考】
▷ because of the fact that…; it being the fact that…; considering that….
▷ 一般的には「比較」「対照」(…だが一方で)を表す接続詞として使われるが、法律の分野では、特に契約書の冒頭部分で、当事者が当該契約を締結するに至った経緯や理由を導く表現として用いられる。

【用例】
▷ WHEREAS, ABC Company is desirous of purchasing the Products from XYZ Corporation;

WHEREAS, XYZ Corporation is willing to sell the Products to ABC Company;
NOW, THEREFORE, the parties hereto agree as follows:
