国際ビジネス、渉外法務に役立つ実務表現 force majeure 【意味】 不可抗力, (契約書中の)不可抗力条項(= a force majeure clause) 【参考】 ▷ フランス語由来。「天災や戦争など契約の履行を不能ならしめる事由」のこと。 ▷ an event that no human foresight could anticipate or which, if anticipated, is too strong to be controlled; a provision in a contract that frees both parties from obligation if an extraordinary event directly prevents one or both parties from performing. 【用例】 ▷ Notwithstanding the foregoing, no occurrence of events of Force Majeure shall relieve the Buyer of its obligation to make payment for the Products already delivered hereunder. →前述にかかわらず、本件不可抗力に係る出来事が起こった場合でも、買主は、本契約に基づきすでに引き渡された製品に対する代金支払いの義務を免れないものとする(契約文例)。
