国際ビジネス、渉外法務に役立つ実務表現 director 【意味】 ① (会社の取締役会を構成する)取締役 ② (団体の)理事, 部局の長(責任者) ③ (映画や音楽などの)監督 【参考】 ▷ a person who supervises, regulates, or controls. A director is the head of an organization, either elected or appointed, who generally has certain powers and duties relating to management or administration. In a corporation, a director is a person appointed or elected by the shareholders to sit on the board of directors. ▷ わが国では、「代表取締役」や「代表理事」を、”representative director”と表記している。 【用例】 ▷ a director of XYZ Ltd. →XYZ社の取締役 ▷ a board of directors →取締役会 ▷ Mr. Lee is on the board of directors →リー氏は取締役会の一員である。 ▷ an executive director →執行取締役, 執行責任者 ▷ an outside director →社外取締役 ▷ a finance/marketing/sales director →経理の/マーケティングの/営業の責任者 ▷ a film[movie]/theater/musical/art director →映画/演劇/音楽/美術監督 ▷ The directors represent the stock company; provided, however, that this does not apply if representative directors or other persons who represent the company are otherwise designated. →取締役は、株式会社を代表する。ただし、他に代表取締役その他株式会社を代表する者を定めた場合は、この限りでない(会社法349条1項)。 ▷ A stock company is liable for damage caused to third parties by its representative directors or other representatives during the course of the performance of their duties. →株式会社は、代表取締役その他の代表者がその職務を行うについて第三者に加えた損害を賠償する責任を負う(会社法350条)。
