国際ビジネス、渉外法務に役立つ実務表現 consideration 【意味】 ① 考慮，配慮，思いやり，考慮すべき点 ② 対価，報酬 ③ 約因 【参考】 ▷ わが国には、英米法の「約因」に相当する概念はありません。 「約因」とは、英米法において、伝統的に、「契約法において極めて重大な(これがないと有効な契約にならない)要素」と考えられている。「契約を有効にさせるための当事者間の相互的利益関係(対価的関係)」と理解できます。そのため、この「相互的利益関係(対価的関係)」がまったくない契約は法的強制力がないものとして扱われることになります。 なお、実務的には、契約書の冒頭部分で、”in consideration of ~”「～を約因として」という文言を用いることによって当該契約がその有効な成立に欠かせない「約因」があることを明示します。 ▷ something of value given by both parties to a contract that induces them to enter into the agreement to exchange mutual performances; the mutual exchange of promises or obligations between the parties to a contract. 【用例】 ▷ in consideration of ~ →～を考慮して, ～の見返りとして, ～を約因として ▷ under consideration →考慮して, 考慮中の ▷ after due consideration →熟慮した後に ▷ give a careful consideration to ~ →～に十分に配慮する ▷ take ~ into consideration →～を考慮に入れる, ～を斟酌する ▷ show consideration for ~ →～に対する思いやりを示す ▷ for a small consideration →少しの対価と引き換えに(少々のチップをもらえれば) ▷ in consideration of the mutual obligations hereinafter set forth →(本契約書で)以下に定める相互の義務を約因として ▷ a lack of consideration →約因の欠如
