国際ビジネス、渉外法務に役立つ実務表現 avoid 【意味】 ～を避ける・回避する，～(契約,取引など)を無効にする(解除する,取り消す) (n) avoidance 【参考】 ▷ わが国では、「～を無効とする」に”avoid”又は”nullify”の語を当てている。 ▷ the act of making void, annulling, cancelling, or escaping or evading. 【用例】 ▷ avoid risk/conflict/confrontation →リスク/衝突/対立を避ける ▷ avoid (paying) tax(s) →節税する ▷ avoidance of contract →契約を無効にする(解除する・取り消す)こと ▷ tax avoidance →節税 ▷ A declaration of avoidance of the contract is effective only if made by notice to the other party. →契約の解除の意思表示は、相手方に対する通知によって行われた場合に限り、その効力を有する(ウィーン売買条約26条)。 ▷ The seller may declare the contract avoided if the failure by the buyer to perform any of his obligations under the contract or this Convention amounts to a fundamental breach of contract. →売主は、契約又はこの条約に基づく買主の義務の不履行が重大な契約違反となる場合には、契約の解除の意思表示をすることができる(ウィーン売買条約64条(1)参照)。
