国際ビジネス、渉外法務に役立つ実務表現 offeror, offeree 【意味】 offeror →申込者 offeree →(申込みを受けた)相手方 【参考】 ▷ (offeror) a person or entity in a contract negotiation that makes an offer; (offeree) a person or entity to whom an offer to enter into a contract is made by the offeror. ▷「申込み」(offer)と「承諾」(acceptance)がそろって(合致して)はじめて有効な契約が成立する。 【用例】 ▷ The offeree’s acceptance of the offer is valid. →相手方による申込みの承諾は有効である。 ▷ The offeror may deem a delayed acceptance to be a new offer. →申込者は、遅延した承諾を新たな申込みとみなすことができる(民法524条)。 ▷ If the offeree has accepted the offer by adding a condition or making other modifications, it is deemed that the offeree has refused the offer and made a new offer. →承諾者が、申込みに条件を付し、その他変更を加えてこれを承諾したときは、その申込みの拒絶とともに新たな申込みをしたものとみなす(民法528条)。
