国際ビジネス、渉外法務に役立つ実務表現 counteroffer 【意味】 反対申込み(申込みを受けた場合にそれに新たな条件を付すなどしてさらに申込みをすること) 【参考】 ▷「反対申込み」を行うと、通例、はじめの申込みを拒絶したものとされ、契約が成立するためには当該反対申込みに対する承諾が必要になる。“counter offer” “counter-offer” と表記することもある。 ▷ a proposal made in response to an original offer modifying its terms, but which has the legal effect of rejecting it. The counteroffer functions as both a rejection of an offer to enter into a contract , as well as a new offer that materially changes the terms of the original offer. ▷民法528条(申込みに変更を加えた承諾) If the offeree has accepted the offer by adding conditions or by making other modifications thereto, it shall be deemed that the offeree has refused the offer and has made a new offer. →承諾者が、申込みに条件を付し、その他変更を加えてこれを承諾したときは、その申込みの拒絶とともに新たな申込みをしたものとみなす。 【用例】 ▷ A reply to an offer which purports to be an acceptance but contains additions, limitations or other modifications is a rejection of the offer and constitutes a counter-offer. →申込みに対する承諾を意図する応答であって、追加、制限その他の変更を含むものは、当該申込みの拒絶であるとともに、反対申込みとなる(ウィーン売買条約19条(1)。
