国際ビジネス、渉外法務に役立つ実務表現 public policy 【意味】 公序良俗(公の秩序又は善良の風俗)，公共政策 【参考】 ▷ the principle that harm to the public benefit is a grounds for denying the legitimacy of a contract or other transactions; a principle that no person or government official can legally perform an act that tends to injure the public. 【用例】 ▷ This provision in the contract may be contrary to public policy. →契約書中のこの条項は公序に反する可能性がある。 ▷ Any juridical act whose purpose is against public policy is void. →公の秩序又は善良の風俗[公序良俗]に反する事項を目的とする法律行為は、無効とする(民法90条)。 ▷ If a party to a juristic act manifests his/her intention which is inconsistent with a provision in laws and regulations not related to public policy, such intention shall prevail. →法律行為の当事者が法令中の公の秩序に関しない規定と異なる意思を表示したときは、その意思に従う(民法91条)。 ▷ Customs which are not against public policy have the same effect as laws, to the extent that they are authorized by the provisions of laws and regulations, or they relate to matters not provided for in laws and regulations. →公の秩序又は善良の風俗に反しない慣習は、法令の規定により認められたもの又は法令に規定されていない事項に関するものに限り、法律と同一の効力を有する(法の適用に関する通則法3条)。 ▷ In cases where a foreign law shall govern, if the application of those provisions of the foreign law is against public policy, those provisions shall not apply. →外国法によるべき場合において、その規定の適用が公の秩序又は善良の風俗に反するときは、これを適用しない(法の適用に関する通則法42条)。
